Terms of Service

Effective Date: October 7, 2026
Last Updated: October 9, 2026
Play Pass LLC, a Minnesota limited liability company

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They contain an agreement to resolve disputes by binding individual arbitration and a waiver of your right to participate in a class action, as described in Section 17.

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “Member”, or “User”) and Play Pass LLC (“Play Pass”, “we”, “us”, or “our”), governing your access to and use of the Play Pass mobile application, related websites, and all associated services (collectively, the “Platform” or the “Service”).

Play Pass operates a membership-based discovery and booking platform that connects families with participating local businesses offering entertainment and family activities, including but not limited to indoor playgrounds, trampoline parks, children's museums, zoos, aquariums, mini golf courses, family entertainment centers, art studios, climbing gyms, and seasonal attractions (each, a “Partner Business,” and collectively, “Partner Businesses”). Play Pass is a technology and marketing platform only. Play Pass does not own, operate, manage, or control any Partner Business, venue, facility, or equipment, and does not employ or supervise any Partner Business staff.

The only amount Play Pass charges you is your membership subscription fee. Your Membership gives you access to discounted pricing and member-exclusive promotions (each, an “Offer”) made available by Partner Businesses. You pay for admissions, activities, and any other goods or services directly to the Partner Business at the venue. Play Pass does not collect, process, hold, or refund payment for any Offer, admission, or venue service.

By creating an account, accessing, or using the Platform, or purchasing a Membership, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree, you must not access or use the Platform.

We may modify these Terms as described in Section 23. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

1.1 In Plain Terms

The summary below is provided for clarity and convenience only; the full terms of the Sections referenced control in the event of any difference.

  • Play Pass provides the technology, discovery, and marketing platform that connects Members with Partner Businesses. Play Pass is not a venue operator and is not the seller of any admission or activity.
  • You pay Play Pass only your membership subscription fee. You pay the Partner Business directly, at the venue, for admissions and activities.
  • Partner Businesses are independent, third-party businesses solely responsible for their own services, staff, equipment, premises, pricing, and safety.
  • Your Membership is access to an evolving marketplace. The venues and Offers available will change over time, and Play Pass does not guarantee any minimum number of venues, Offers, or savings (see Section 4.1).
  • Play Pass is not responsible for injuries, accidents, venue closures, or the quality of experiences at Partner Business locations, except to the extent applicable law does not permit this to be disclaimed (see Sections 7 and 14).

2. Eligibility and Account Registration

2.1 Account Holder Eligibility

The Platform and membership accounts are intended for use by adults. You must be at least 18 years old and capable of forming a binding contract to create a Play Pass account or purchase a Membership. The Platform is not directed at children, and children may not independently register for or hold an account. Parents and legal guardians (“Account Holders”) may use their own accounts to browse and reserve Offers for use by their minor children, in accordance with Section 8 (Minors and Parental Supervision).

2.2 Account Information

You agree to provide accurate, current, and complete information when creating your account and to promptly update such information as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Authority to Act for Minors

By listing, naming, or otherwise providing information about a minor in connection with your account or any Offer, you represent and warrant that you are the parent or legal guardian of that minor, or that you have obtained the express authorization of that minor's parent or legal guardian, and that you are legally authorized to make bookings and provide information on that minor's behalf. Play Pass relies on this representation and has no obligation to independently verify it.

3. Nature of the Service; Relationship with Partner Businesses

3.1 Play Pass as a Discovery and Booking Platform

Play Pass operates a marketing, discovery, and booking technology platform that enables Members to find Partner Businesses, view member-exclusive Offers, and where supported, reserve or check in for a visit. Play Pass does not operate, staff, or manage any venue, and does not provide the underlying entertainment, activity, or admission itself.

PARTNER BUSINESSES ARE THE SOLE SELLERS AND PROVIDERS OF ALL ADMISSIONS, ACTIVITIES, GOODS, AND SERVICES OBTAINED THROUGH AN OFFER. Play Pass is not the seller, reseller, merchant of record, or provider of any admission or venue service, does not take title to or possession of any admission, and is not a party to the transaction between you and a Partner Business. Each Partner Business independently determines its own pricing, the discounts and Offers it chooses to extend to Members, its availability and capacity, and the terms on which it will serve you. Partner Businesses are independent contractors and are solely responsible for the quality, safety, legality, and delivery of the goods, services, admissions, and experiences they provide.

3.2 No Payment Collection by Play Pass

Play Pass does not collect, process, hold, escrow, or remit payment for any Offer, admission, activity, or other Partner Business good or service. You transact and pay directly with the Partner Business at the venue, using whatever payment methods that Partner Business accepts. Any receipt, invoice, refund, exchange, credit, or billing dispute relating to a venue transaction is solely between you and that Partner Business. The only amounts Play Pass charges you are the membership subscription fees described in Section 4. Play Pass earns a commission from Partner Businesses on completed visits. That commission is billed to the Partner Business, is never charged to you, and does not change the price you are quoted in the app.

3.3 Partner Requirements; No Endorsement or Inspection

Play Pass requires each Partner Business, by written agreement, to represent and warrant that it holds the licenses and permits required to operate; that its premises, equipment, and play structures are maintained in safe operating condition and inspected as required by law and manufacturer specifications; that personnel who supervise or have unsupervised access to minors are screened as required by law and reasonable industry practice; and that it maintains commercial general liability insurance and, where its activities involve minors, abuse and molestation coverage. Play Pass may suspend or remove a Partner Business that loses a required license, fails to honor Offers, or is the subject of a credible safety or child-protection concern.

Play Pass relies on these contractual representations and does not independently inspect, audit, or verify any Partner Business's premises, equipment, staffing, background checks, or safety practices. Listing of a Partner Business or Offer on the Platform is not an endorsement, guarantee, warranty, certification, or recommendation by Play Pass of that Partner Business, its venue, staff, equipment, or the safety or suitability of its activities for any particular individual, including children. You remain responsible for evaluating whether a venue and activity are appropriate for you and any minors in your care.

3.4 Availability, Reservations, and Check-In

To claim an Offer, you must present your Membership or digital confirmation through the Play Pass app and complete any check-in process at the time of visit. Offers are subject to the Partner Business's own operating hours, capacity limits, blackout dates, age or height restrictions, waiver requirements, and house rules, which are outside Play Pass's control.

Offers not yet reserved. An Offer that you have merely viewed or saved, and have not reserved, is made available at the discretion of the Partner Business and may be modified, suspended, or withdrawn by that Partner Business at any time. Play Pass does not guarantee that any particular Partner Business or unreserved Offer will be available, will remain available, or will be honored.

Confirmed reservations. Each Partner Business tells Play Pass how much capacity it makes available to Members, and the Platform books against that capacity. Where the Platform confirms a reservation to you for a specific date, time, or entry window (a “Confirmed Reservation”), that capacity is held for you. Play Pass's agreement with each Partner Business requires it to honor your Confirmed Reservation at the Offer price displayed when you booked, and not to materially alter or withdraw it, except where the Partner Business cannot reasonably do otherwise because of: safety concerns; a venue closure; a capacity, staffing, or systems error outside its reasonable control; suspected fraud or misuse; your failure to satisfy a disclosed age, height, weight, health, or waiver requirement; your late arrival outside the stated entry window; or a requirement of law. If a Partner Business fails to honor a Confirmed Reservation, Section 3.5 describes the remedies available to you from Play Pass, and any claim against the Partner Business itself remains yours to pursue directly.

Cancellations and no-shows. You are responsible for canceling or modifying a Confirmed Reservation through the app if your plans change. Cancellation is governed by Play Pass's standard reservation policy, which applies across all Partner Businesses and is displayed in the app at the time you book. Separately, each Partner Business sets its own attendance, late-arrival, and no-show rules for visits at its venue, and those rules apply to your visit. Separately, each Partner Business sets and administers its own cancellation and refund policy for amounts you have already paid it at the venue; that policy is shown on the Offer listing, and a Partner Business must apply it to Members on terms no less favorable than it applies to the general public for the same item. Because you pay the venue rather than Play Pass, any refund of money you paid comes from the Partner Business, not from Play Pass. Neither Play Pass nor any Partner Business will charge you a fee for a canceled reservation or a no-show. However, because a reservation holds capacity that another family could have used, repeated no-shows or late cancellations may result in suspension or limitation of your reservation privileges under Section 9.

If Play Pass cancels or reschedules your reservation. If Play Pass learns that a Partner Business has closed, relocated, lost a required license, reduced its capacity, or is otherwise unable to honor booked reservations, Play Pass may notify you and cancel or reschedule your Confirmed Reservation, and may remove or reduce that venue's availability on the Platform. Play Pass will tell you if it does so. Because you have not paid Play Pass for the Offer, no charge or refund arises from a reservation canceled under this paragraph, and Section 3.5 describes the assistance available to you.

If check-in is not working. If the Platform's check-in function is unavailable when you arrive, Play Pass's agreement with each Partner Business requires it to serve you at the Offer price displayed when you booked and to record the visit afterward. A check-in outage is not a valid reason for a Partner Business to refuse you or to charge you a different price.

3.5 Your Exclusive Remedy for Partner Business Failure

If a Partner Business refuses admission, is closed or at capacity, or declines to honor a valid Offer or Confirmed Reservation, please report it to Play Pass at support@playpasscommunity.com within thirty (30) days of the affected visit. Booking through the Platform does not involve any payment: you pay the Partner Business at the venue, at the time of service. If a Partner Business turns you away before you have paid, you have not been charged for that visit by anyone, and there is nothing for Play Pass to refund. If you had already paid the Partner Business, any refund must be sought from that Partner Business under its own refund policy.

On receiving your report, Play Pass will provide reasonable customer-support assistance, which may include contacting the Partner Business on your behalf, helping you identify and book a comparable alternative Offer, and recording the incident against that Partner Business. Play Pass's agreement with each Partner Business obligates it to honor Offers and Confirmed Reservations at the price displayed when you booked, and Play Pass may suspend or remove a Partner Business that fails to do so.

Play Pass is a booking and marketing platform, not the provider of the activity. Where a Partner Business declines to serve you for any reason other than a malfunction of the Platform, Play Pass is not responsible for the Partner Business's decision or for any resulting inconvenience, travel, or other cost, and your recourse for that decision is against the Partner Business. Play Pass may, in its sole discretion and without obligation, refund or credit all or part of your Membership fee for the affected period where a Partner Business has failed to honor an Offer or Confirmed Reservation. Any such refund or credit is a goodwill gesture, is decided case by case, does not admit responsibility, and does not entitle you or any other Member to the same or any further remedy on another occasion.

These remedies are your sole and exclusive remedy against Play Pass for claims arising from a Partner Business's failure to honor an Offer or Confirmed Reservation. This Section applies to failures caused by the Partner Business. It does not limit any claim you may have against Play Pass arising from Play Pass's own independent acts or omissions, including a malfunction of the Platform that causes a valid booking not to be recorded or transmitted, and it does not limit any claim for a refund, damages, or other relief against the Partner Business itself, which must be directed to that Partner Business.

4. Membership Plans, Billing, and Auto-Renewal

4.1 Membership Plans

Play Pass offers recurring, paid monthly membership plans (each, a “Membership”) that grant access to member-exclusive Offers from Partner Businesses. The current plans, prices, and included benefits are described on the Platform at the time of purchase and may change prospectively as described in Section 4.9. Your Membership fee entitles you to access to the Platform and to Offers as they are made available; it is not a prepayment for, and does not guarantee, any particular admission, activity, discount amount, or Partner Business.

WHAT YOUR MEMBERSHIP DOES AND DOES NOT GUARANTEE. Your Membership is a subscription to an evolving marketplace, not a purchase of any specific benefit. Except where expressly stated otherwise at the time of purchase, Play Pass does not guarantee any minimum number of Partner Businesses, Offers, activities, or reservations; any minimum discount amount, percentage, or total dollar savings; any particular geographic coverage or proximity of Partner Businesses to you; the continued participation of any specific Partner Business; or the availability of any particular category or type of venue or activity. The number, identity, location, and composition of Partner Businesses and Offers will vary over time and may increase or decrease, including materially, while you are a Member. Partner Businesses may join or leave the Platform at any time. Your continued Membership is not conditioned on, and no refund or credit arises from, any such change, except as expressly provided in Section 19.3.

4.2 Slots: Who Is on Your Account

Each Membership plan includes a set number of slots. Every person you add to your account occupies one slot, whether that person is an adult or a child. Your plan shows how many slots it includes and how many remain. If you need more slots, you can change plans in the app; a change takes effect as described in Section 4.9.

Only people occupying a slot on your account may be included in a booking or checked in under your Membership. You are responsible for every person on your account, and Section 2.3 governs any child you add.

4.3 Billing Date and Automatic Renewal

Play Pass bills Memberships monthly. You are charged when you sign up, and your Membership renews on the same day of each following month. For example, if you sign up on the 13th, you are billed on the 13th of each month thereafter. If you sign up on a day that does not occur in a later month, for example the 29th, 30th, or 31st, you are billed on the last day of that shorter month, and your billing date returns to its usual day in the months that follow.

YOUR MEMBERSHIP AUTOMATICALLY RENEWS ON YOUR MONTHLY BILLING DATE AT THE THEN-CURRENT PRICE UNLESS YOU CANCEL BEFORE THAT DATE. By purchasing a Membership, you authorize Play Pass to automatically charge your payment method on file each month until you cancel in accordance with Section 4.5. The renewal price, your monthly billing date, and the method of cancellation are disclosed to you during signup before you are charged.

4.4 Payment; App Store Purchases

You must provide a valid payment method to purchase a Membership. On the web, payment is processed by Stripe; in the iOS app, payment is processed by Apple through in-app purchase. In either case the payment processor holds your payment details and Play Pass never receives your full card number. You authorize Play Pass and its third-party payment processors to charge your payment method for all applicable Membership fees and taxes. If a payment fails, Play Pass may suspend your access to Member benefits, including the ability to claim Offers or make reservations, immediately and without further notice. Play Pass or its payment processor may reattempt the charge in accordance with the processor's standard retry procedures. Access is restored once payment is successfully processed; a suspension for non-payment does not extend your billing period or entitle you to a credit for the suspended days.

If you purchase a Membership through Apple's App Store or Google Play (“App Store”), that purchase is billed and processed directly by the applicable App Store, and its own terms, billing cycle, and refund policies, not Play Pass's, govern that transaction. To manage, cancel, or seek a refund for an App Store purchase, you must use that platform's subscription management and support tools; Play Pass cannot process cancellations or refunds on the App Store's behalf.

If you subscribe in the iOS app: payment is charged to your Apple ID at confirmation of purchase; the subscription renews automatically for the same period at the same price unless you turn off auto-renew at least twenty-four (24) hours before the current period ends; your Apple ID is charged for the renewal within twenty-four (24) hours before the period ends; and you can manage your subscription and turn off auto-renew in Account Settings on your device at any time after purchase. Deleting the app does not cancel your subscription, and any refund is at Apple’s discretion under its own terms.

4.5 Cancellation

You may cancel your Membership at any time, using the same method by which you subscribed. If you subscribed directly through Play Pass, cancellation is available through account settings in the app in no more steps than it took to sign up, or by contacting customer support at support@playpasscommunity.com. If you subscribed through an App Store, you must cancel through that App Store's account or subscription settings. Cancellation takes effect at the end of the monthly billing period in which you cancel. You will not be charged again, and cancellation does not reverse, refund, or prorate the charge for the billing period already underway. You keep full access to Member benefits through the last day of that billing period.

4.6 Pausing Your Membership

Play Pass does not currently offer a way to pause a Membership. To stop future charges, cancel as described in Section 4.5; you can join again at any time.

4.7 No Refunds

MEMBERSHIP FEES ARE NON-REFUNDABLE, INCLUDING PARTIAL-MONTH AND UNUSED-BENEFIT AMOUNTS, EXCEPT WHERE REQUIRED BY APPLICABLE LAW, AS EXPRESSLY PROVIDED IN SECTION 19.3, OR AS PLAY PASS MAY DECIDE IN ITS DISCRETION UNDER SECTION 3.5. If you cancel, you are responsible for the full monthly fee for the billing period in which you cancel, and you retain access for that period. Because Play Pass does not collect payment for admissions or venue services, Play Pass does not issue refunds for those transactions; any refund, exchange, or credit for a venue transaction must be sought directly from the Partner Business under its own policies.

For clarity, the refund described in Section 19.3 applies only where Play Pass terminates your Membership without cause or discontinues the Service, and the goodwill refund or credit described in Section 3.5 is discretionary and never automatic. It does not apply to cancellation by you, to termination by Play Pass for cause, or to any change in the number or identity of participating Partner Businesses.

4.8 Free Trials and Promotions

If Play Pass offers a free trial or promotional pricing, the trial duration, the date it converts to a paid Membership, the price that will apply on conversion, the billing frequency, and the method of cancellation will be clearly disclosed to you during signup before you provide payment information. Unless you cancel before the trial period ends, your Membership will automatically convert to a paid, auto-renewing Membership and your payment method will be charged. Where applicable law requires Play Pass to send a reminder notice before a trial or promotional period converts to a paid Membership, Play Pass will send that notice to the email address associated with your account within the timeframe that law requires.

4.9 Price Changes

Play Pass may change Membership pricing prospectively. We will notify you by email or in-app notice at least thirty (30) days before an increased price takes effect, or such longer period as applicable law requires, and you may cancel before the effective date to avoid the change. Price changes never apply retroactively to a billing period you have already paid for.

4.10 Payment Disputes and Chargebacks

If you have a concern about a Membership charge, we ask that you contact Play Pass at support@playpasscommunity.com first so we have an opportunity to resolve it directly and promptly. Nothing in these Terms limits or waives any right you have under applicable law or your card network's rules to dispute a charge with your bank or card issuer. If a chargeback is resolved in Play Pass's favor and the underlying Membership charge is determined to have been validly authorized, you agree to remain responsible for that amount. Play Pass's payment processor uses automated tools to screen transactions for fraud. These tools score each transaction automatically, and as a result a payment may be declined, reversed, or your access suspended, without a person reviewing the transaction first. If your transaction is declined or your access is suspended on that basis, you may contact Play Pass at support@playpasscommunity.com to request that a person review the decision, and Play Pass will do so and tell you the outcome.

5. Finding, Reserving, and Using Offers

5.1 Material Terms Disclosed Before Your Visit

Partner Businesses set their own Offers; Play Pass reviews listings. Each Partner Business independently determines the discounts, pricing, availability, capacity, and terms of the Offers it makes available on the Platform, and submits that information to Play Pass for listing. Play Pass reviews submissions before they appear on the Platform to check that they meet Play Pass's listing requirements. That review is not a verification or guarantee of the accuracy, availability, or suitability of any price, discount, or Offer, and Play Pass does not set a Partner Business's prices or control its operations. Play Pass may also correct or remove a listing at any time that appears to contain an error or that Play Pass reasonably believes is inaccurate or misleading.

Play Pass requires Partner Businesses to disclose the material terms of an Offer on the Offer's listing in the app, so that you can see them before you reserve or travel to the venue. Material terms include: the discount or price the Offer provides; the unit the Offer is priced by (for example, per person, per child, per adult, per household, per vehicle, or per group); the number of admissions or participants the Offer covers; expiration dates; blackout dates; any reservation or advance-booking requirement; known capacity restrictions; applicable age, height, or weight requirements; the Partner Business's cancellation and refund policy; any waiver, release, health or medical form, registration, supervision, or attire requirement the Partner Business imposes; and any additional mandatory fees or purchases required to use the Offer. Play Pass's agreement with each Partner Business also prohibits it from imposing on Members any surcharge, booking fee, minimum purchase, or other condition that is not imposed on the general public and disclosed on the listing. These are contractual obligations Play Pass imposes on Partner Businesses. Because the underlying information originates with the Partner Business, and Play Pass's review checks only that a submission meets Play Pass's listing requirements, Play Pass does not warrant or guarantee that every listing is complete or accurate, and Section 3.5 sets out your remedy if a Partner Business does not comply.

A Partner Business may additionally require you to follow venue rules of conduct and safety, and to sign a waiver or release, at the venue. Those conduct, safety, and waiver requirements may be presented at the venue. A Partner Business's material economic and use restrictions listed above must be disclosed on the listing before your visit. If you arrive at a venue and are presented with a material restriction that was not disclosed on the Offer listing, please report it to Play Pass at support@playpasscommunity.com; Section 3.5 describes the remedies available to you.

Capacity. Capacity information shown on the Platform reflects restrictions that the Partner Business has disclosed to Play Pass. Unless the Platform has issued you a Confirmed Reservation, Play Pass does not verify or guarantee real-time availability, and a venue may reach capacity between the time you view an Offer and the time you arrive. Where you hold a Confirmed Reservation, Section 3.4 governs.

Prices shown do not include tax. Offer prices displayed on the Platform are exclusive of sales, use, excise, admissions, amusement, and similar transaction taxes. The Partner Business calculates and collects any applicable tax at the point of sale, in addition to the displayed price, so the total you pay at the venue will be higher than the price shown in the app. Play Pass does not collect or remit tax on a Partner Business’s sales to you.

Conditions of entry. A Partner Business may require you to sign the same waivers, releases, health or medical forms, registrations, and rules of conduct it requires of the general public, and to meet the same age, height, weight, supervision, equipment, and attire requirements. Holding a Membership or a Confirmed Reservation does not waive or replace any of those requirements, and a Partner Business may decline service if they are not met. A Partner Business may not require you to sign a waiver or release that runs in favor of, or purports to bind, Play Pass.

5.2 Who May Use an Offer

Each Offer listing states the exact number of admissions or participants it covers. An Offer may be used by that number of people, provided each person satisfies any age, height, weight, or health requirements that the Partner Business imposes for the activity.

An Offer may be redeemed by you or by a member of your household presenting the valid digital confirmation from your account at check-in, so that you may send your spouse, or another adult in your household, with your children in your place. A Partner Business may decline a confirmation it reasonably believes is fraudulent, altered, duplicated, or expired, or that is presented by someone who is neither you nor a member of your household. If you plan to send a caregiver, grandparent, or other adult outside your household, contact Play Pass at support@playpasscommunity.com in advance so we can arrange it with the venue. You remain responsible for your account and for any redemption made using it. If a minor will participate, a responsible adult must accompany them and provide supervision consistent with Section 8 and the Partner Business's rules. By sharing your digital confirmation with another adult, you confirm that you have authorized that person to redeem the Offer and, where minors are involved, that the arrangement is consistent with your representations in Section 2.3. You also acknowledge that the person redeeming the confirmation may see the name of any child included in the reservation.

You must hold an active Membership at the time the Offer is claimed. Offers are for personal, non-commercial use and may not be sold, resold, bartered, auctioned, or transferred for commercial purposes or for value.

5.3 Extras You Can Add at Booking

Some Partner Businesses offer extras you can add when you book, such as food or equipment, at a fixed member price per item. There may be a limit per person, which is shown at booking. Extras are sold by the Partner Business and paid to the Partner Business at the venue, exactly like the visit itself. Play Pass records only what you selected so the venue knows to expect it, does not collect payment for extras, and does not refund them. A Partner Business's own cancellation and refund policy governs an extra you have paid for.

5.4 Expiration

Offers must be claimed within the validity period stated on the listing. Expired or unclaimed Offers are forfeited. Because no payment is made to Play Pass for an Offer, no refund arises from an expired Offer.

If you attempt to claim a valid Offer before it expires and the Partner Business declines to honor it, and you report this to Play Pass within thirty (30) days as described in Section 3.5, Play Pass will not treat the Offer as forfeited solely because it expired while Play Pass was reviewing your report. Section 3.5 governs what Play Pass will do in that circumstance.

5.5 Venue Rules and Waivers

Many Partner Businesses require visitors to sign a liability waiver, release, or acknowledgment of rules directly with the venue before participating in an activity. You are responsible for reviewing and complying with all such venue-specific requirements. Play Pass is not a party to, and is not responsible for enforcing or interpreting, any waiver or release between you and a Partner Business.

6. Rewards and Challenges

6.1 How Rewards Work

A Partner Business may offer a challenge that earns a reward, such as a free visit after a set number of check-ins at that venue. Your progress is tracked in the app. Challenges and rewards are created and funded by the Partner Business that offers them, not by Play Pass.

6.2 Rewards Have No Cash Value

A reward may be used only at the Partner Business that created it. A reward is not money. It has no cash value, cannot be exchanged or redeemed for cash, and cannot be sold or transferred to another household.

6.3 Rewards Belong to the Account

Progress and earned rewards belong to your account as a whole rather than to any one person on it, so they are not lost if the people on your account change.

6.4 Changes, Expiration, and Venue Departure

A Partner Business may change, pause, or withdraw a challenge at any time, and a challenge may end. Play Pass will not remove a reward you have already earned because a Partner Business changed or ended its program. A reward may expire if an expiration is stated at the time you earn it. If a Partner Business leaves the Platform, rewards for that venue can no longer be used, and Play Pass has no obligation to replace them or provide any substitute, refund, or credit.

6.5 Perks Offered at the Venue

A Partner Business may offer member perks at the door that are not tracked in the app. Those are the venue's own offer, honored at the venue's discretion, and Play Pass does not administer or guarantee them.

7. Assumption of Risk; Physical Activities

MANY ACTIVITIES OFFERED BY PARTNER BUSINESSES INVOLVE INHERENT RISKS OF PHYSICAL INJURY, INCLUDING BUT NOT LIMITED TO FALLS, COLLISIONS, STRAINS, AND OTHER INJURIES ASSOCIATED WITH TRAMPOLINES, CLIMBING STRUCTURES, PLAY EQUIPMENT, MINI GOLF COURSES, AND SIMILAR PHYSICAL ACTIVITIES.

PLAY PASS IS NOT RESPONSIBLE FOR INJURIES, ACCIDENTS, VENUE CLOSURES, OR THE EXPERIENCE YOU HAVE AT ANY PARTNER BUSINESS LOCATION, EXCEPT TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT THIS TO BE DISCLAIMED. Play Pass's role is limited to operating the discovery, booking, and marketing platform described in Section 3; Play Pass does not sell, deliver, supervise, or control the activity or admission itself.

You acknowledge and agree that: (a) participation in any activity obtained through an Offer is voluntary and at your own risk and, where applicable, at the risk of any minor in your care; (b) Play Pass does not supervise, inspect, or control any Partner Business's premises, equipment, staff, or safety practices; (c) you are solely responsible for evaluating the suitability of any activity for yourself and any minors in your care, including any age, height, weight, or health restrictions; and (d) any injury, loss, or damage arising from your visit to, or activity at, a Partner Business is a matter between you and that Partner Business, and, to the fullest extent permitted by law, Play Pass disclaims all liability for such injury, loss, or damage.

Scope of this disclaimer. This Section disclaims Play Pass's responsibility for the acts, omissions, conduct, premises, and safety practices of Partner Businesses, which are independent third parties. It does not attempt to waive, and shall not be read to waive, any liability that cannot lawfully be waived, including liability for Play Pass's own gross negligence, willful misconduct, or fraud. This Section is coordinated with, and subject to the same carve-outs as, Sections 15 and 16.

Minors. Some jurisdictions limit or do not permit a parent or guardian to waive a minor's own personal-injury claims in advance. Nothing in these Terms, and nothing an Account Holder acknowledges on a minor's behalf, is intended to waive any right that a minor holds in their own capacity that cannot lawfully be waived by a parent or guardian under applicable law. This Section is intended to apply, and to limit Play Pass's own liability, to the fullest extent that is actually enforceable under the law of the relevant jurisdiction.

No insurance. Play Pass does not provide, and is not, insurance covering injury, illness, property damage, or other loss arising from a visit to a Partner Business. Play Pass encourages Members to review their own health, accident, and property insurance coverage before participating in any physical activity.

8. Minors and Parental Supervision

ACCOUNT HOLDERS ARE SOLELY RESPONSIBLE FOR THE SUPERVISION OF ANY MINOR CHILDREN WHO PARTICIPATE IN ACTIVITIES FOUND THROUGH THE PLATFORM. Play Pass does not provide supervision, childcare, instruction, or safety monitoring of any kind. Consistent with your representation in Section 2.3, you are responsible for providing appropriate supervision consistent with the Partner Business's rules and the minor's needs.

Play Pass does not knowingly collect personal information directly from children under 13, and Membership accounts must be held by an adult Account Holder. Any information about a minor on your account is provided by you, as a parent or guardian, and not collected from the child.

Verifiable parental consent. Before storing information about a child under 13, Play Pass obtains verifiable parental consent from you by sending a verification code to the email address on your account, which you must enter to confirm. Play Pass does not store a child's information until that confirmation is complete. You may review, correct, or delete a child's information at any time from your account, and you may withdraw consent at any time by deleting that child's profile.

What we collect about a child. To add a child to your account and check them in at a venue, Play Pass collects the child's first and last name and date of birth. Play Pass uses the date of birth only to confirm that a child meets a Partner Business's age requirements for an activity. Play Pass does not collect medical, health, allergy, or dietary information about children. If a Partner Business needs to know about an allergy or medical condition for a particular activity, you provide that information directly to the venue at the time of your visit; it is not stored by Play Pass and does not pass through the Platform.

What the venue sees. Each Partner Business has access to a partner dashboard through which it receives the reservation and check-in details for bookings at its own venue. Those details include your name as the Account Holder and the name and age of any child included in that booking. A Partner Business sees this information only for bookings at its own venue, and does not receive details of your bookings at any other Partner Business. Play Pass's agreement with each Partner Business permits it to use that information only to fulfill and record visits and to operate its Play Pass partner account, which also shows the venue its own promotions, commission information, and the Members who follow it. Partner Businesses are contractually prohibited from exporting that information from the Play Pass system, using it outside the Play Pass relationship, selling or otherwise disclosing it, or marketing to Members without separate opt-in consent.

Play Pass does not use a child's information to advertise or market to that child, does not build advertising profiles of children, and does not sell it. You may review, correct, or delete a child's information at any time through your account or by contacting support@playpasscommunity.com. When you delete a child profile, it is removed from your account immediately and permanently erased from Play Pass's live systems within thirty (30) days. Two exceptions apply: historical booking records are retained for commission reconciliation and dispute resolution, and residual copies may persist in encrypted backups until those backups are overwritten in the ordinary course. See our Privacy Policy for further detail.

9. User Conduct

In connection with your use of the Platform, you agree not to:

  • Violate any applicable law, regulation, or third-party right;
  • Use the Platform for any fraudulent, deceptive, or unauthorized commercial purpose, including reselling Memberships or Offers;
  • Claim an Offer for more people than the Offer covers, or share your account or digital confirmations to enable unauthorized redemptions;
  • Interfere with or disrupt the integrity or performance of the Platform, including through unauthorized access, scraping, reverse engineering, or introduction of malicious code;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Harass, threaten, or abuse Play Pass personnel or Partner Business staff; or
  • Use the Platform in a manner that could damage, disable, or impair the Platform or interfere with any other party's use of it.

Play Pass may suspend or terminate accounts that violate this Section, as described in Section 19. A Partner Business may report to Play Pass that a Member did not meet a posted age or height requirement, did not follow venue rules, or was involved in an incident during a visit. Play Pass receives those reports in order to respond to them, administer these Terms, and maintain the safety and integrity of the Platform, and may act on them under Section 19.

10. Intellectual Property

10.1 Play Pass Content

The Platform, including its software, design, text, graphics, logos, and the “Play Pass” name and marks (collectively, “Play Pass Content”), is owned by Play Pass or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Play Pass grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

10.2 Partner Business Marks

Partner Business names, logos, and marks displayed on the Platform are the property of their respective owners and are used with permission for identification of their Offers.

10.3 Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant Play Pass a perpetual, irrevocable, royalty-free license to use such feedback without restriction or compensation to you.

10.4 Reviews and What You Submit

After a visit you can rate it and leave a written review (“Member Content”). Your star rating counts toward that Partner Business's average rating, which other Members can see. Your written review is shared with that Partner Business, together with your first name, and with Play Pass; it is not currently shown to other Members, and if that changes we will tell you first. Write honestly about your own experience.

You agree not to submit anything unlawful, threatening, hateful, harassing, or deliberately false; anything that identifies another person’s child; or anything you do not have the right to share. The Platform does not currently allow Members to upload photographs.

You keep ownership of what you write, and you grant Play Pass a worldwide, royalty-free, sublicensable license to store, display, reproduce, and distribute your Member Content in connection with operating and promoting the Platform. Play Pass may remove Member Content that breaks these rules, but does not remove a review simply because a Partner Business dislikes it. Member Content reflects the views of the Member who submitted it, not Play Pass, and Play Pass does not verify or endorse its accuracy.

11. Privacy

Our collection and use of personal information in connection with the Platform is described in our Privacy Policy, available at https://playpasscommunity.com/privacy, which is incorporated into these Terms by reference and is made available to you before you create an account. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy, including the sharing with a Partner Business, through its partner dashboard, of the reservation and check-in details for bookings at that venue, as described in Section 8.

13. Third-Party Services and Payment Processors

The Platform may contain links to, or integrate with, third-party websites, applications, or payment processors that are not owned or controlled by Play Pass, including Stripe, which processes Memberships purchased directly through Play Pass, and the Apple App Store or Google Play for Memberships purchased through those platforms. Play Pass is not responsible for the content, policies, or practices of any third-party service. Your use of any third-party service is at your own risk and subject to that third party's own terms and privacy policy.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL OFFERS MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLAY PASS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT OFFERS OR PARTNER BUSINESSES WILL MEET YOUR EXPECTATIONS, OR THAT ANY PARTNER BUSINESS WILL HONOR AN OFFER, AND PLAY PASS DOES NOT WARRANT THE SAFETY, QUALITY, LEGALITY, OR SUITABILITY OF ANY PARTNER BUSINESS'S PREMISES, STAFF, EQUIPMENT, OR ACTIVITIES.

The exclusions in this Section apply only to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion of implied warranties in consumer contracts, and nothing in this Section excludes or limits any warranty or right that applicable law makes non-waivable. To the extent a warranty cannot lawfully be excluded, it is limited in duration to the shortest period permitted by that law.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PLAY PASS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, ANY OFFER, OR ANY PARTNER BUSINESS, EVEN IF PLAY PASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLAY PASS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PLAY PASS IN MEMBERSHIP FEES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Ordinary negligence remains subject to the cap. The limitations above apply to all claims, including claims based on Play Pass's ordinary negligence, to the fullest extent permitted by applicable law.

Carve-outs. Nothing in this Section limits or excludes Play Pass's liability for: (a) bodily injury or death directly caused by Play Pass's own gross negligence or willful misconduct (as distinguished from the acts or omissions of a Partner Business, which is an independent third party as described in Section 3); (b) fraud or fraudulent misrepresentation by Play Pass; or (c) any other liability that cannot be limited or excluded as a matter of applicable law. Except as set forth in this paragraph, the limitations in this Section apply regardless of the legal theory on which a claim is based (contract, tort, statute, or otherwise) and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Play Pass and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, to the extent arising out of: (a) your breach of these Terms; (b) your violation of any applicable law or any third-party right; (c) your own negligent, reckless, or willful acts or omissions, or those of a minor or other person under your supervision or control at a Partner Business; or (d) any misrepresentation you make, including a misrepresentation of your authority to act on behalf of a minor under Section 2.3.

Exclusions. This indemnity does not apply to, and you have no obligation to indemnify Play Pass for, any claim to the extent it arises from Play Pass's own negligence, gross negligence, willful misconduct, or fraud, or from any matter for which indemnification is not permitted by applicable law. Play Pass will promptly notify you of any claim for which it seeks indemnification, will not settle any such claim without your consent (not to be unreasonably withheld), and will reasonably cooperate with your defense.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

17.1 Agreement to Arbitrate

You and Play Pass agree that any dispute, claim, or controversy arising out of or relating to these Terms, your Membership, or your use of the Platform (each, a “Dispute”) will be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court for Disputes within that court's jurisdiction. This Section does not apply to any dispute between you and a Partner Business.

17.2 Informal Resolution First

Before filing an arbitration, you agree to first contact Play Pass at support@playpasscommunity.com and attempt in good faith to resolve the Dispute informally for at least thirty (30) days.

17.3 Arbitration Procedure

Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, and will be conducted by a single arbitrator. Unless you and Play Pass agree otherwise, the arbitration will be conducted in the county of your residence or another mutually agreed location, or may be conducted by phone, video, or written submissions where permitted by the AAA rules. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the extent any provision of this Section conflicts with the AAA Consumer Arbitration Rules or with the AAA's Consumer Due Process Protocol, those rules and that protocol control.

17.4 Class Action and Jury Trial Waiver

YOU AND PLAY PASS AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding. You and Play Pass each waive any right to a jury trial.

17.5 Mass Filing / Batch Arbitration Procedures

If twenty-five (25) or more similar arbitration demands, represented or coordinated by the same or coordinated counsel, or by a claims aggregator, are filed against Play Pass within a similar time period (a “Mass Filing”), the parties agree that, to the extent consistent with the arbitration provider's rules then in effect: (a) the provider shall group the Disputes into batches of no more than 100 similarly-situated claims each; (b) one Dispute from each batch shall proceed first as a bellwether, with the remaining Disputes in that batch stayed pending the bellwether's outcome; and (c) filing and administrative fees shall be allocated among batches rather than multiplied per individual claimant. Nothing in this Section is intended to limit any claimant's right to an individualized determination of their own claim, to extend any applicable limitations period to a claimant's detriment, or to override the arbitration provider's rules or applicable law. If the arbitration provider will not administer arbitration on this batched basis, either party may elect to have the Mass Filing Disputes resolved in the courts identified in Section 18.

17.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@playpasscommunity.com within thirty (30) days of first accepting these Terms, stating your name, the email address on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect your Membership or any other part of your relationship with Play Pass. If you opt out, both you and Play Pass retain the right to litigate Disputes in court, subject to Section 18.

17.7 Severability of Arbitration Terms

If the class action waiver in Section 17.4 is found unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) will proceed in court rather than in arbitration; the remainder of this Section 17 will remain in full force and effect.

18. Governing Law and Venue

These Terms, and any Dispute not subject to arbitration or brought in small claims court, are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Subject to Section 17, you and Play Pass agree that the state and federal courts located in Minnesota will have exclusive jurisdiction over any Dispute not subject to arbitration, and you consent to personal jurisdiction and venue in such courts. This choice of law does not deprive a Member who is a consumer of any protection afforded by mandatory, non-waivable provisions of the law of the state in which that Member resides.

19. Term, Suspension, and Termination

19.1 Term

These Terms remain in effect for as long as you maintain an account or use the Platform.

19.2 Termination by You

You may terminate your account at any time by canceling your Membership and closing your account through the app or by contacting support@playpasscommunity.com. Section 4.5 governs the effect of cancellation on your current billing period.

19.3 Termination by Play Pass; Your Remedies

Play Pass may suspend or terminate your account or access to the Platform (a) immediately and for cause, if we reasonably believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful conduct, or where immediate action is necessary to protect the safety or rights of any person; or (b) without cause, including if we discontinue the Service, on at least thirty (30) days' advance notice to you by email or in-app notice.

Where Play Pass terminates or suspends your account for cause and the circumstances do not involve fraud, abuse, safety, or unlawful conduct, Play Pass may, but is not required to, notify you of the reason and give you an opportunity to respond or to correct the conduct before the termination becomes final. Nothing in this paragraph limits Play Pass's right to act immediately where it reasonably believes immediate action is warranted.

If Play Pass terminates your account without cause, or discontinues the Service, Play Pass will give you at least thirty (30) days' notice. If Play Pass ends your access partway through a monthly billing period you have paid for, Play Pass will refund the unused portion of that period's fee, prorated from the date your access ends, to your original payment method. If you purchased through an App Store, Play Pass will direct any refund request through that App Store's process where Play Pass cannot issue the refund directly.

If Play Pass terminates your account for cause, no refund of the current billing period is provided, except where applicable law requires otherwise. In all cases, because Play Pass does not collect payment for admissions or venue services, termination has no effect on any transaction you have already completed and paid for directly with a Partner Business; unclaimed Offers and upcoming reservations simply cease to be available to you once your Membership ends.

19.4 Survival

Sections that by their nature should survive termination (including Sections 3.5, 7, 10, 14–18, and 22–23) will survive.

20. Accessibility

Play Pass is committed to making the Platform usable by people of all abilities and works to align with generally recognized accessibility standards (such as the Web Content Accessibility Guidelines) as they apply to a mobile application. If you encounter an accessibility barrier or need assistance using the Platform, please contact us at support@playpasscommunity.com and we will work with you to provide the information or service you need in an alternative manner.

21. Additional Disclosures for Certain States

If you are a resident of a state that requires specific disclosures or cancellation rights for automatically-renewing subscriptions (including, among others, California, Illinois, New York, and Vermont), the following applies to you in addition to, and to the extent of any conflict, in place of, the corresponding provision above: (a) the pricing, length, renewal date, and cancellation terms of your Membership are presented to you clearly before you are charged; (b) you may cancel your Membership online at any time, through a method at least as easy as the method you used to sign up, without being required to speak to a representative; and (c) where applicable law requires Play Pass to provide a reminder notice before a free trial or promotional period converts to a paid subscription, Play Pass will provide that notice as required. Nothing in these Terms limits any right or remedy that applicable state law makes non-waivable.

22. General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented to you at signup, constitute the entire agreement between you and Play Pass regarding the Platform and supersede all prior agreements and understandings. These Terms do not govern your separate relationship or transaction with any Partner Business.

22.2 Severability

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22.3 No Waiver

Play Pass's failure to enforce any provision of these Terms will not be deemed a waiver of that or any other provision.

22.4 Assignment

You may not assign or transfer these Terms or your account without Play Pass's prior written consent. Play Pass may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

22.5 Force Majeure

Play Pass will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, severe weather, epidemics, acts of government, labor disputes, or failures of third-party infrastructure (each, a “Force Majeure Event”).

If a Force Majeure Event makes the Platform substantially unavailable to you for a continuous period of more than fourteen (14) days within a single monthly billing period, Play Pass will waive your next month's Membership fee. Play Pass will apply this waiver automatically where it is aware of the outage; if it has not been applied, contact Play Pass at support@playpasscommunity.com and it will be applied to your following billing date. An interruption of fourteen (14) days or less does not give rise to a refund, credit, waiver, or extension obligation, except where applicable law requires otherwise.

Because Play Pass does not collect payment for admissions or venue services, a Partner Business closure caused by a Force Majeure Event does not create any refund obligation on the part of Play Pass; any such request must be directed to the Partner Business. The closure or withdrawal of one or more Partner Businesses, whether or not caused by a Force Majeure Event, is governed by Section 4.1, which explains that the number and identity of participating Partner Businesses may vary. A Force Majeure Event does not excuse Membership fees that have already accrued for periods in which the Platform was available.

22.6 Notices

Play Pass may provide notices to you via the email address or in-app notifications associated with your account, consistent with Section 12. Notices to Play Pass should be sent to support@playpasscommunity.com, or to Play Pass LLC, 250 Morse Ave, Excelsior, MN 55331-1931.

22.7 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Play Pass, or between Play Pass and any Partner Business.

23. Changes to These Terms

Play Pass may update these Terms from time to time to reflect changes in our Platform, business practices, or legal requirements. If we make material changes, we will provide notice through the app or by email at least thirty (30) days before the changes take effect, or such longer period as applicable law requires. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you may cancel your Membership before they take effect.

Material changes apply prospectively only. A revision to these Terms will not retroactively change the price, length, or benefits of a Membership term you have already paid for, and will not apply retroactively to any Dispute of which Play Pass had notice before the revision took effect, except where a change is necessary to comply with applicable law or to prevent fraud or abuse. A change to Membership pricing is governed by Section 4.9.
